Canadian Terms of Service Supplement

This Canadian Terms of Service Supplement (“Supplement”) applies to users of PsychReport.ai (the “Service”), operated by Cobalt Sail LLC (“PsychReport.ai,” “we,” “us,” or “our”), who access or use the Service from Canada.

This Supplement adds to, and where there is a conflict for Canadian users takes precedence over, our general Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service. Together they form the agreement between you and us.

1. Who May Use the Service in Canada

The Service is offered in Canada to licensed or credentialed mental health professionals and their authorized clinical staff who are acting within scope of their professional registration. You are responsible for ensuring your use complies with the rules of your provincial regulatory college and any applicable professional standards.

The Service is not currently offered in Canada to public bodies, school boards, public health authorities, or other organizations subject to Canadian requirements to store personal information within Canada (including, without limitation, Nova Scotia's Personal Information International Disclosure Protection Act and British Columbia FIPPA obligations applicable to public bodies). If you are, or are contracting on behalf of, such an organization, you must contact us before using the Service.

2. Your Responsibilities as Custodian

You acknowledge that, under Canadian privacy and health-privacy law, you are the custodian / trustee / controller of the personal information and personal health information you enter, and that PsychReport.ai acts as your service provider, agent, and information manager, processing that information only on your instructions and on your behalf.

As such, you are responsible for:

  • Holding the professional credentials required in your jurisdiction;
  • Collecting client information lawfully and obtaining any consent required, including, where applicable, consent to AI-assisted drafting and to cross-border processing in the United States;
  • Reviewing, validating, and approving all AI-generated content before clinical use — generated reports are assistive drafts, not final clinical work product, and do not substitute for your professional judgment;
  • Meeting your own obligations to respond to client access, correction, and other requests, with our assistance.

3. Cross-Border Processing

You understand and agree that the Service stores and processes data in the United States, and that information you enter is transferred to the United States and subject to United States law. This is described further in our Canadian Privacy Supplement. By using the Service you consent to this transfer and confirm you are authorized to consent on behalf of your clients to the extent your professional obligations require.

4. Data Processing Agreement

For Canadian clinicians who require a written data-processing or service-provider agreement to satisfy their own privacy-impact assessment or regulatory obligations (including a Quebec Law 25 transfer assessment), we will enter into such an agreement on request. That agreement governs our handling of personal health information and prevails over these terms to the extent of any conflict.

5. Statutory Rights Preserved

Nothing in the Terms of Service or this Supplement limits, excludes, or modifies any consumer-protection or privacy right that applies to you and that cannot be waived or limited under the applicable law of your province or under Canadian federal law. Where the Terms of Service disclaim warranties, limit our liability, or require you to indemnify us, those provisions apply only to the extent permitted by the applicable law of your jurisdiction. For Quebec users, our liability is limited only to the extent permitted by the Civil Code of Québec and applicable consumer-protection legislation.

6. Governing Law and Disputes

The Terms of Service specify the law of North Carolina and the courts of North Carolina. For Canadian users, this choice of law and forum applies except where mandatory law of your province grants you a non-excludable right to the application of local law or to bring proceedings in your local courts, in which case those mandatory rights are preserved.
